RELEASE AND INDEMNITY AGREEMENT

The undersigned desires to (1) release, indemnify and defend The Neiswanger Foundation, Golden Springs, LLC and Matthew W. Neiswanger (collectively, “Owner”) with counsel of Owner’s choosing and (2) release and hold Owner harmless from any liability arising out of the undersigned’s use of horses, 4-wheelers, side-by-sides, golf carts and jet skis on the properties at 116 High Meadow Manor Lane in Flint Hill, Virginia and 40 Hungry Farm Lane, Flint Hill, Virginia 22627 and other adjacent properties (collectively, the “Property”).

Riding horses and carriage driving/riding are inherently dangerous activities.  Even experienced horse persons have been severely injured while riding horses, driving carriages or riding in carriages.  Owner recommends that only those with previous experience take part in these activities.  The undersigned agrees that if he or she is riding horses, riding in a carriage or driving a carriage on the Property, he or she is in fact representing that he or she has the necessary experience to do so.  Even with such experience, the undersigned agrees an injury or injuries could occur, even using the most reasonable precautions and safeguards.

Using 4-wheelers, side-by-sides, golf carts, bicycles, jet skis or other off-road riding equipment are inherently dangerous activities.  There are risks associated with flipping the equipment, equipment failure, rolling the equipment and other unpredictable results.  Riding with more than one person on the equipment is never acceptable.  Owner recommends that only those with previous experience take out such equipment to use on the Property.  The undersigned agrees that if he or she is using such equipment on the Property, he or she is in fact representing that he or she has the necessary experience to do so.  Even with such experience, the undersigned agrees an injury or injuries could occur, even using the most reasonable precautions and safeguards.

The undersigned agrees that he or she shall be financially responsible for any damage or injury that occurs due to his or her activities at the Property.  Should Owner be required to sue the undersigned to recover the costs thereof, the undersigned agrees that Owner shall also be able to recover its attorneys’ fees, court costs and expenses associated with such recovery.

The undersigned expressly agrees that this release, waiver and indemnity agreement is intended to be as broad and inclusive as is permitted by the laws of the Commonwealth of Virginia and that if any portion of this agreement is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.

The parties agree that this agreement may be electronically signed. The parties agree that the electronic signatures appearing on this agreement are the same as handwritten signatures for the purposed of validity, enforceability, and admissibility.


BY SIGNING BELOW, THE UNDERSIGNED ACKNOWLEDGES AND REPRESENTS THAT THE UNDERSIGNED HAS READ THE FOREGOING RELEASE AND INDEMNITY AGREEMENT, UNDERSTANDS IT AND SIGNS IT VOLUNTARILY AS THE UNDERSIGNED’S FREE ACT AND DEED AND THAT NO ORAL REPRESENTATIONS, STATEMENTS OR INDUCEMENT APART FROM THIS WRITTEN AGREEMENT HAVE BEEN MADE. THE UNDERSIGNED UNDERSTANDS THAT HE IS GIVING UP (WAIVING AND RELEASING) ANY RIGHTS HE MAY HAVE TO SUE OR MAKE A CLAIM WHICH HE MIGHT HAVE OR WHICH MAY SUBSEQUENTLY ARISE AGAINST THE RELEASEES AND THAT IT IS THE UNDERSIGNED’S INTENT TO DO SO.
