STRIDER Payment Processing Agreement

This Agreement establish the responsibilities of all Users in regards to the guiding policies, terms and the capabilities (collectively known as “Services”) of StriderPay™.

StriderPay™ is our unique payment processing system that enables businesses to securely accept various forms of payment in their local currencies for transactions conducted on the Strider equestrian bookings platform. Businesses that are registered & approved for StriderPay™ may accept payment from users by major credit or debit cards, PayPal, or Venmo (as available), or a mailed check.  Where we differ from any other service is the ability to distribute funds automatically and in most cases near real time without waiting weeks or months for transactions to clear.

Your obligations when using StriderPay™ depend on your role. This agreement considers four distinct roles:
Organizer/Strider Account Holder,  Rider/Strider Account Holder, PayPal Business Account Holder (venue, Clinician, Non-Profit Association  etc.) and a Guest User on the Strider Platform.

Third-Party Services

STRIDER has engaged third-party service providers to perform the services related to StriderPay™  payment processing, including card processing, currency exchange, identity verification, fraud analysis, and regulatory compliance.  STRIDER partners with PayPal, Venmo, Stripe, and other licensed payment processors to facilitate card payments and other payments and the disbursement of funds.

**Processing fees may be charged, either by STRIDER or third party providers, to collect and distribute sums with StriderPay.  These fees may be paid upfront by the rider on behalf of the Organizer/PayPal Account holder, however they are NOT refundable to the rider. ***

By using StriderPay™ ™, you will be subject to our Third-Party Providers agreements. These links will take you to  PayPal User Agreement and the Stripe Checkout Terms of Service

Failure to abide by Third-Party terms and conditions may result in fees assessed to you (for example, currency conversion fees from your credit card issuer if the transaction currency is different from your credit card currency) or other actions taken by such third parties, and you agree that Strider has no control over, or responsibility or liability for, such fees or actions.,

If STRIDER receives notice that your listings or activity violates a Third-Party’s service agreement, we may at our sole discretion take action against your account to comply with their policies. Such actions may include canceling a transaction, disabling listings from account, suspending your selling privileges, or removing certain payment methods.

Payment Processing for Organizer/Strider Account Holder

StriderPay™  offers two types of payment processing options “Electronic Payment Processing” and “Self-Service”.

Our Electric Fund Processing option allows you to (a) accept payment by authorized credit and debit card transactions, Venmo, PayPal, and (b) have those funds deposited into a designated and approved PayPal Business Account.

StriderPay™  also supports Self Service Processing by the Organizer, wherein they may agree to receive Payment via Check- either via the mail or in person on the Day of Activity. 

You agree to have Strider Payment Entities receive or execute payments on your behalf in relation to your use of the Strider Services, and manage settlement of related payments to you (referred to as “Managed Payments,” “Payment Services,” or similar names).

Buyers may pay for your items using payment methods such as the following, the availability of which may vary:

  • Certain credit or debit cards (VISA, MasterCard, American Express, and Discover),
  • PayPal
  • Venmo
  • Mailed or personally delivered check

We may modify the scope of payment methods available at our sole discretion.

The underlying contract for the buyer’s purchase of “items” (which may refer to goods and/or services) from you is directly concluded between you and the buyer.

After a Managed Payments transaction occurs, you will receive a notification confirming such payment transaction. We will initiate settlement of proceeds received to your Linked Financial Account (as defined below in Part I, Section 4 “Seller Onboarding”). You can access the status of your Managed Payments transactions, including settlements and other payment information, under the Payments tab in the Organizer Dasher, which will be available to you when you successfully onboard to StriderPay™ .  If a payment is made to you in error, or if you receive funds that you are not otherwise entitled to receive at the time of disbursement, we have the right to recoup such amounts from you.

What’s required to use Strider Pay

For you to receive payment for transactions made through StriderPay™  you must a.) be approved to use StriderPay™  b.)  provide valid information for a verified PayPal Business Account and successful connect that account to Strider and b) keep the designated PayPal Business account in good standing at all times. Without this information, STRIDER cannot route funds to your account. The transaction will be reversed and funds returned to the buyer.

To be approved for StriderPay™ :

  1. You must provide accurate personal information as requested during Strider account registration, and are responsible for maintaining and updating that information as necessary. You may not impersonate any person or business, nor use any name you are not legally authorized to use.
    1. STRIDER -or one of our third-party partners- may verify your information at any time in order to safeguard the integrity of the Strider marketplace and reduce the risk of fraud, money laundering, terrorist financing, and the violation of trade sanctions. You authorize STRIDER™, and authorized agents, to verify your information (at registration and on occasion when using the Services) by accessing public records and /or obtaining additional reports. We reserve the right to revoke approval for the use of StriderPay™ if we find that any information provided during onboarding is inaccurate, intentional deceptive, or no longer valid.
  2. You must ensure the designated PayPay account provided to STRIDER remains in good standing and is not limited or “frozen” at any point. If it is, you agree to promptly contact PayPal Merchant Support and resolve the matter.
  3. You may not direct users to any path other than StriderPay™ for electronic fund payment. Plainly speaking, this means you cannot say in the activity description “To avoid processing fees, please select payment via check on Strider and pay me via my personal Venmo directly at @JaneDoe”.
  4. STRIDER reserves the right to unliterally terminate an Account Holder’s access to Strider services if we observe sending or receiving funds via StriderPay™ in any other manner than is authorized by this agreement.

In order to use our StriderPay™  services to process funds, you must:

  • Register for a Strider account
  • Accept these Payments Terms of Use
  • Link a PayPal Business Account, so you may receive settlements of proceeds from StriderPay™ transactions to this account (“Linked Financial Account”).

You may change your Linked Financial Account at any time as permitted by us.

If we offer you the option to receive deposits to more than one Linked Financial Account, we will allocate your payouts among your Linked Financial Accounts in conformity with your instructions. By adding a Linked Financial Account to your Strider account, you represent and warrant that you are the lawful owner of, or have the lawful right to use, any Linked Financial Account you associate with your account.

If you elect to receive deposits to a Linked Financial Account owned or controlled by a legal representative, you represent and warrant that the legal representative has the authority to receive payouts on your behalf, and you fully release us from any and all liability for losses you may sustain arising from disbursements made by us to the legal representative under these Payments Terms of Use.

Provide us with all information which we may require for purposes that include: verifying your identity, complying with applicable laws and regulations such as anti-money laundering and sanctions screening obligations, allowing us to manage settlements of your transaction proceeds, and assessing fraud and risk.

If you are an individual, this information may include, without limitation, your full name, address, phone number, date of birth, and a form of government-issued identification (e.g., a copy of your identity card or driver’s license).

If you are a business, this information may include, without limitation, your full business name, address, phone number, entity type, bank account information, tax identification number, and business number, in addition to details regarding your beneficial owner(s), director(s), officer(s), authorized representative, legal representative, and/or primary contact, such as name, contact information, nationality, title, and government-issued identification (such as a United States Social Security Number).

Provide us with all information necessary to authenticate you or your payment transactions, which may include validation of your phone number or email. You understand that we may be unable to execute certain transactions or complete certain requests without this information.

Timely maintain the accuracy of the information we have on file, and consent to our periodical updating of such stored information based on information provided by you, your bank, or other payments services providers. You will only provide us information about payment or settlement methods that you are authorized to use. You understand that if you update information such as your country of residency, you may need to repeat some or all of the onboarding steps described above to continue using Payment Services.

Comply with all, and not cause a third party to violate any, applicable laws, regulations, rules, and terms and conditions in connection with your use of the Strider Services. You understand that some third parties (such as banks, credit and debit card issuers, credit and debit card networks, and payments services providers) may have their own terms and conditions for the payment or settlement methods you or buyers choose to use in connection with payments that we manage, such as terms and conditions that relate to the settlement of funds, chargebacks, prohibited items, and overdrafts. Failure to abide by third-party terms and conditions may result in fees assessed to you, delays in your receipt of funds, or other actions taken by such third parties. You agree that we have no control over, or responsibility or liability for, such fees, delays, or actions.

You authorize us and our Affiliates to check information you provide to us, including by verifying the existence of your Linked Financial Account and obtaining reports from, or comparing your information to, third-party sources. We reserve the right to close, suspend, or limit your account or rescind your access to any or all of our services in the event we are unable to obtain or verify any of this information. We are not responsible for any losses suffered by you as a result of incomplete or inaccurate information you provide.

Payment Processing for Rider/Strider Account Holder

You may pay for items and services using the payment methods that StriderPay™  makes available, which may include credit/debit cards, Venmo, PayPal and other methods as StriderPay™  deems suitable. When buying on STRIDER, you authorize StriderPay™  to initiate payments using your selected payment method and collect the transaction amounts, plus any applicable processing fees on behalf of the seller. 

You may also choose, if the Organizer offers such option, to Pay By Check to the organizer. You understand that you are making a commitment to provide such funds directly to the Organizer. In the event that you do not provide such funds in the timeframe agreed and Strider receives repeated complaints, Strider reserves the right to limit or block your future use of the STRIDER platform.

Communications to Strider Account Holders, PayPal Account Holders & Guest Users.

We will inform you of each transaction processed on your behalf, or of other information pertaining to Payments, using our standard communication procedures, including by email.  Please do not Unsubscribe All from our communications, as it prevents up from sending you timely updates of changes that we want you to be aware of.

Communications to Organizer/Strider Account Holder.

A Strider account allows Organizers to track payment amounts, run reports, track entry cancellations etc related transactions and Organizer services.

To ensure the deposit you receive is as close to the activity price you set as possible, estimated processing & handling fees are added to the sum paid by the rider, then deducted from the gross amount deposited in the designated PayPal account. 

Payment Processing Fees for Rider/Strider Account Holder & Guest Users

Strider charges fees (the “Processing/Handling/Partner Fees”) for processing each transaction through StriderPay™ ™, which may include processing fees set by third party providers and handling fees set by STRIDER. We reserve the right to modify our fee structure at any time.   These fees are NOT refundable, for any reason.

Payment Processing Fees for Organizer/Strider Account Holder & PayPal Business Account Holder (venue, Clinician, Non-Profit Association  etc.)

Our StriderPay™  system is designed to minimize your out-of-pocket fees and maximize your payment collection.

To minimize your out-of-pocket fees, StriderPay™  is designed to add processing and handling fees to the buyer side of a transaction. Actual processing rates on credit/debit, Venmo, PayPal are set by the respective thirty party providers.  You can find their current fee schedule here.  These fees are NOT refundable to the buyer, even if you cancel their entry.

There is no guarantee that the rate we set will wholly meet the rate you are charged. You may receive a deposit slightly more or less than the price you set depending on the rate you are charged from third party providers.

If you expect to have high volume of transactions processed on Strider you have the right to negotiate with Third Party providers directly for a discounted rate.  If such rate is negotiated, the sum deposited in your PayPal account will reflect the new rate.  

Fee Avoidance (All Account Holders and Guests)

Any action by an Account Holder or Guest to avoid paying a fee is considered fee avoidance and is strictly prohibited by Strider. This includes, for example, encouraging riders to pay you electronically through another means than StriderPay™ ™, such as ApplePay or services that support “friends & family”.   A transaction initiated on Strider may not be completed off of Strider.  The price stated in each listing description must be an accurate representation of the transaction.

Subscription Fees for Organizers/Strider Account Holders

Strider Organizers/Strider Account Holder sellers in good standing may opt-in to StriderPlus, a subscription package offering an expanded set of tools for growing equestrian business. The fee for StriderPlus subscription is an annual rate, available in monthly increments or a one-time purchase.  Where applicable, Strider may charge local taxes (e.g. sales taxes or VAT/GST) on your monthly subscription fee.

Compliance with Federal and International Trade Laws for Strider Account Holders.

You agree that your use of StriderPay™  will not involve any countries entities, individuals, or items prohibited by sanctions, embargoes, regulations, or orders administered by the US Department of Treasury’s Office of Foreign Assets Control (“OFAC”) or other government agencies. You agree to comply with, and not cause a third party to violate, all applicable laws, regulations, rules and terms and conditions in connection with the use of the services provided by the StriderPay™  Payment Entities.  

STRIDER reserves the right to suspend payment of any amounts owed to a designated recipient if STRIDER suspects or determines that such amounts have been generated in (A) a fraudulent manner, (B) violation of this Agreement, or (C) violation of any applicable laws or regulations (foreign or domestic), or if STRIDER is required to do so by applicable laws or regulations (foreign or domestic).

STRIDER reserves the right to decline transactions that we believe to be high risk, fraudulent, or in violation of STRIDER’s Terms of Use.  STRIDER may refuse the use of StriderPay™  to anyone, for any reason, at any time.

As a security measure, we may impose transaction limits on all Account Holders and Guest Users. For example, we may impose limits relating to the value of any transaction, deposit, or adjustment, or limits relating to the cumulative value of all transactions, deposits, or adjustments during a period of time. We may also impose limits related to the number of transactions per day or other period of time. We will not be liable to an Guest User, Strider Account Holder or PayPal Account Holder: (a) if we do not proceed with a transaction, deposit, or adjustment that would exceed any limit established by us, or (b) if we permit a buyer to withdraw from a transaction.

STRIDER will cease all additional registration and payment processing of any kind in respect to a cancelled activity, or an activity where the designated PayPal account as recipient incurs a status change and is no longer approved or eligible to receive funds processed via StriderPay™ ™.

StriderPay™  functionality may be made available, modified, or discontinued by us at any time without notice and is subject to the limitations in STRIDER’s Terms of Use.

Deposits for Organizers/Strider Account Holders & PayPal Business Account Holder (venue, Clinician, Non-Profit Association etc.)

  1. All funds resulting from a completed transaction deposit in an Organizer’s designated Paypal Business Account at the end of any applicable deposit delay, reserve, or hold period.  Any refunds, adjustments, or other amounts paid to buyers in connection with purchases, or for funds received since the last payment day, will be taken directly out of the designated PayPal account, plus any associated administrative processing fees. Transactions are considered complete once our third-party partner has facilitated the deposit, even if there is a subsequent hold of funds by such Third party.
  2. Deposit times. The StriderPay™ service facilitates deposit of Funds into the Organizer’s designated Payment Account on a set basis, which we call the “Deposit Date.” The Deposit Date will fall on a business day (Monday through Friday, excluding bank holidays). The actual timing of the deposit handled by our third-party partners and may vary based on business days and holidays. We work hard to avoid and minimize any delays. However, some cases, deposits to an Organizer’s accounts could be temporarily delayed by an issue at Strider, StriderPay™ ™’s third-party service providers, or an issue with an Organizer’s PayPal account or bank.  If we believe that an Organizer’s actions may result in excessive buyer disputes, chargebacks, or other claims, then we may, in our sole discretion, put a hold, deposit delay, or work with our third-party partner to place a reserve on the Organizer’s payment account balance. If STRIDER places a hold, deposit delay, or reserve on an Organizer’s account, we’ll do our best to communicate with the affected Organizer as soon as we can.

One of our third-party partners may choose to decline, freeze, or hold a transaction or available funds until such processing volume is consistent and verified, or for suspected fraud, Anti-Money Laundering (“AML”) compliance, compliance with economic or trade sanctions, in connection with Strider’s internal risk controls or due to potential policy violations of Strider or third-party payment services providers terms of use.  If this occurs, we sympathize with your inconvenience but understand STRIDER will not refund any fees or reimburse any expenses due to hold on funds, delayed deposits, or declined transactions. Contact PayPal Merchant support, not STRIDER, to resolve any hold on funds that have processed into a PayPal account.

Tax Reporting Obligations for Organizers/Strider Account Holders & PayPal Business Account Holder (venue, Clinician, Non-Profit Association  etc.)

As a user of our StriderPay™   service, you may find yourself receiving payments from individuals in multiple states and countries. You agree to calculate and collect any applicable sales, municipal or other tax yourself on each transaction. It is your responsibility to ensure the price you set is inclusive of any taxes and collect such on each transaction, as appropriate.

As a condition of use for StriderPay™ ™, you are required to be registered to collect sales tax in the state you conduct physical business in and hereby agree to be responsible for any application tax collection on Strider and remittance to the appropriate entities. It is your responsibility to be aware of tax obligations in your state or country of residence.

It is YOUR responsibility to ensure all contact information in your Strider account and PayPal account is up to date and accurate to ensure receipt of any IRS forms.

Strider does not directly touch or hold your funds.  Our system facilitates the processing of financial transactions through third party partners.  Regardless of how a user chooses to pay, collected funds are deposited into a PayPal Business Account.

You can expect to receive a 1099 form from PayPal under certain circumstances.  Internal Revenue Service regulations require that PayPal file a Form 1099-K to report unadjusted annual gross sales information for PayPal account holders located in the United States who receive over $20,000 in gross payment volume AND/OR over 200 separate payments in a calendar year.

You understand and acknowledge that PayPal will send you a 1099-K form for deposits that exceed $20,000 in one calendar year.

Currency Conversion Considerations for Organizers/Strider Account Holders & PayPal Business Account Holder (venue, Clinician, Non-Profit Association  etc.)

In the event an Organizer lists and subsequently sells an item in a currency other than the currency of the Organizer’s payment account, STRIDER will settle the associated transaction proceeds in the currency of the Organizer’s payment account. When such a service is required, STRIDER applies a currency conversion fee. Calculation rates are updated regularly.

In the case of a buyer purchasing from a Organizer who lists in a currency other than the buyer’s browsing currency, STRIDER will automatically calculate the listing price in the buyer’s browsing currency. When such a calculation is required, STRIDER applies an additional currency conversion charge. Calculation rates are updated regularly.

Recoupment for Organizers/Strider Account Holders & PayPal Business Account Holder (venue, Clinician, Non-Profit Association  etc.)

 

We reserve the right, in our sole discretion, to seek reimbursement from a Organizer in any of the following circumstances: (a) we provide a refund to a buyer because a Organizer did not promptly deliver the services/goods or we otherwise determine that a refund is warranted in a particular circumstance, (b) we discover erroneous or duplicate transactions related to a Organizer, (c) we receive a chargeback from a buyer’s credit card issuer or reversal of payment for the amount of a buyer’s purchase from a Organizer, or (d) a Organizer does not act in accordance with STRIDER™’s policies.

Refunds for Organizers/Strider Account Holders & PayPal Business Account Holder (venue, Clinician, Non-Profit Association  etc.)

 

You agree that your user of StriderPay™  as a, the Organizer, are responsible for providing any applicable Refunds to Buyers. You agree to ensure a clear and specific Refund Policy on any activity you post. 

You will promptly provide any applicable refunds directly to the Buyer and/or promptly resolve any refund concerns for an activity you posted. You agree to issue applicable Refunds to buyers via your PayPal account dashboard “Refund” functionality. 

The Strider Handling Fee is non-refundable at all times. Our third-party processing partners may retain a portion of their processing fee for any refunded transaction. Additional details about what portion of their fee may not be refunded can be found here.

If you refuse to provide a valid refund to a Buyer in a timely manner based on the Refund Policy posted in your activity announcement or the Terms outlined in this agreement, we may choose to provide it on your behalf. We may obtain reimbursement of any amounts owed by an Organizer to STRIDER by deducting from future payments owed to the Organizer, plus a $60 administrative fee, reversing any credits to the Organizer’s payment account balance, charging the Organizer’s payment account, or seeking reimbursement from the Organizer by any other lawful means, including by using third-party collection services. You authorize us to use any or all of the foregoing methods to seek reimbursement. STRIDER may suspend your selling privileges at any time pending payment of your outstanding balance.

You agree to fully indemnify STRIDER and its affiliates for refunds, errors in issuing refunds, or lack of refunds in connection with the use of any payment option.

You further agree that you will limit the occurrence of charge back disputes from Buyers to STRIDER.   STRIDER reserves the right to recoup funds associated with buyer chargebacks, plus a $45 per transaction administrative processing fee. You agree to fully indemnify STRIDER and its affiliates for chargebacks issued in the course of the use of our StriderPay™  service.

STRIDER reserves the right to terminate the account of any Account Holder whose actions result in excessive chargeback disputes filed against STRIDER™.

Escheatment for Organizers/Strider Account Holders & PayPal Business Account Holder (venue, Clinician, Non-Profit Association  etc.)

 

 If STRIDER cannot settle funds into an Organizer’s PayPal account, the funds will be returned to the Buyer or held by the third-party processor.   If an Organizer fails to update the information to claim the funds within a certain period of time, the third-party processor may escheat the funds to the relevant government authority in order to comply with escheatment laws.

Disputes for Riders/Strider Account Holders

Users agree to contact the Organizer listed on the activity details page for any payment or refund dispute. Organizers agree to resolve any disputes directly with the buyer or with the assistance of the dispute management and refund tools available on STRIDER, and in accordance with Strider’s Terms of Use.

Termination for all Account Holders

Organizers may terminate their acceptance of services at any time by adjusting the Settings in their account with STRIDER and/or ceasing their use of Strider services, which may include StriderPay™ ™.   You may disconnect your PayPal account and remove authorization from Strider to send deposits from within your PayPal account settings and any time. STRIDER may also terminate or suspend an Organizer’s use of StriderPay™  at any time.

Upon termination, any non-disputed Available Funds will be deposited into an Organizer’s primary PayPal account. STRIDER reserves the right, upon termination of access to  StriderPay™ ™, to set off against any payments to be made to the Organizer, an amount determined by us to be adequate to cover any anticipated chargebacks, refunds, adjustments, or other amounts that might be paid to buyers in connection with purchases from the Organizer’s payment account for a prospective 180-day period. At the end of the 180-day period following termination, we will release to the Organizer ‘s designated PayPal account any amount not used to offset chargebacks, refunds, adjustments, or such other amounts paid to buyers, or seek reimbursement from the Organizer via any of the means authorized in this Policy for any additional amount required to offset chargebacks, refunds, adjustments, or other amounts paid to buyers, as applicable.

Reporting of Buyer/Seller Information

STRIDER may share user personal or transactional information with third-party service providers when it is necessary to process payments. STRIDER maintains records associated with transactions on StriderPay™  but does not hold credit card numbers or bank account information.

Where legally required, Strider will report your personal details and details of your transactions to relevant governmental authorities. Strider will not disclose any personal information to any third parties unless legally required to do so.

Organizers will only receive limited buyer contact information necessary to complete the order. STRIDER’s Privacy Policy further explains how STRIDER handles user information.

SEVERABILITY.
 If any portion of this Agreement is held to be invalid by a court or government agency of competent jurisdiction, its invalidity will not affect the validity or enforceability of any other provision of this Agreement and the rights and obligations of the parties will be construed and enforced as if the Lease did not contain the particular part, term or provision held to be invalid.

 

GOVERNING LAW.

This Agreement shall be governed, construed and interpreted by, through and under the applicable laws and regulations of the State of Delaware.  Any Agreement clause or covenant not in accordance with applicable law shall be considered null and void.
